These Terms and Conditions govern the professional services provided by Nadeem Rasheed ("I", "me", or "my") to clients ("you" or "Client"). By engaging my services, you agree to these terms.
Services are defined by a written agreement, proposal, or statement of work exchanged prior to project start. Any work outside the agreed scope requires a separate written agreement. I reserve the right to decline requests that fall outside the original scope.
Invoices are due within 14 days of issue unless otherwise agreed in writing. Projects may require a deposit before work begins. Work may be paused on accounts more than 14 days overdue.
Invoices unpaid after 30 days accrue a late fee of 1.5% per month on the outstanding balance. Returned payments incur a $35 processing fee.
You agree to provide timely access to systems, assets, and approvals required to complete the project. Delays caused by your unavailability may result in revised timelines. You are responsible for maintaining your own backups of any data or systems I am given access to.
All deliverables become your property upon receipt of full payment. Until full payment is received, I retain all rights to work produced. I reserve the right to display completed work in my portfolio unless you request confidentiality in writing before the project begins.
Revisions within the agreed scope are included. Revisions that change the direction, requirements, or deliverables of a project are treated as new scope and billed accordingly.
I treat all client information, strategies, and systems as confidential and will not share them with third parties without your consent, except where required by law.
My total liability for any claim arising from services provided is limited to the total amount you paid me in the 90 days preceding the claim. I am not liable for indirect, incidental, or consequential damages including lost revenue, lost data, or business interruption.
Either party may terminate an engagement with 14 days written notice. You are responsible for payment for all work completed up to the termination date. Deposits are non-refundable unless I terminate the engagement without cause.
These terms are governed by the laws of the State of California. Any disputes will be resolved in the courts of Los Angeles County, California.
I may update these terms from time to time. Continued engagement after changes are posted constitutes acceptance of the updated terms.
